Each Unit will consist of one (1) common share and one-half (1/2) common share purchase warrant of the Company (''warrant''). Each full Warrant will entitle the holder thereof, during a period of 24 months from the date of closing of the placement, to purchase one (1) common share at an exercise price of $0.13 per common share. Each share issued pursuant to the placement will have a mandatory four (4) month holding period from the date of closing of the placement. In connection with the placement, the Corporation will pay Loeb Aron &amp; Co. Trust a finder's fee of $ 1,200 and 15,000 Units. The Units will have the same terms and conditions as the Unit described above. </p>

<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 1em; padding-left: 0px;">WINDHOEK &mdash; Namibia's diamond mining company Namdeb, equally owned by De Beers and the government, will invest 922 million dollars to extend mining operations beyond 2020, officials said Thursday.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 1em; padding-left: 0px;">"Namdeb will invest 1.4 billion Namibian dollars until 2017 and altogether 6.7 billion dollars (922 million dollars, 700 million euros) to take diamond mining until 2050," managing director Inge Zaamwani told reporters.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 1em; padding-left: 0px;">"These funds might not be raised from the Namibian capital market but possibly from beyond Namibian borders," she added.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 1em; padding-left: 0px;">Industry experts have predicted that reserves of the gems could be depleted by the time the De Beers mining licences expire in 2020 but the announcement signalled optimism in the future for a key export earner.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 1em; padding-left: 0px;">Diamond exports are still rebounding from the global economic crisis last year, which slashed Namdeb's revenue by 40 percent from 5.65 billion Namibian dollars in 2008 to 3.37 billion Namibian dollars.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">The economy contracted by 0.8 percent in 2009 as the global downturn hit mining revenues in Namibia, the world's fourth largest uranium producer and a major diamond producer.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">A Reuters survey of 8 economists put growth for 2010 at a median of 3.5, quickening to a median of 4.0 percent in 2011.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">Forecasts ranged from 1.7 percent to 4.5 percent in 2010 and 2.2 percent to 4.5 percent in 2011.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">"With an uptick in commodity prices, global demand and tourism, we have revised upward our growth forecast" said Business Monitor International's Alan Cameron.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">The Bank of Namibia cut interest rates by 350 basis points between December 2008 and June last year in an effort to stimulate demand.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">The poll shoed inflation is expected to average around 5.8 percent for 2010, before quickening to 7 percent in 2011. </p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">Headline inflation has been on a downtrend this year. It slowed to 4.3 percent year-on-year in last month, its lowest level in more than three-years.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">SACU STOKES REVENUE WORRIES</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">Namibia is part of the Southern African Customs Union (SACU), and gets over a third of its revenue from shared trade duty with South Africa, Botswana, Swaziland and Lesotho.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">SACU may change its revenue-sharing agreements to the detriment of smaller countries on mounting tensions due to the perception in South Africa that the bigger economy's customs receipts are bankrolling the four smaller neighbours.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">With reduced revenues, the poll showed that Namibia's fiscal deficit could widen sharply to a median of 7 percent this year after a 1.6 percent shortfall in 2009.</p>

<p style="font-family: verdana, helvetica, sans; padding: 0px;">"Revelations that SACU has significantly overestimated its revenues over the past few years, and must correspondingly correct the situation with a huge reduction of transfers to regional members, has left Namibia's fiscal and current account balances in unexpected deficit." said Cameron.</p>

The results will be disclosed to Afri-Can and Deep South as soon as the laboratory analyses are completed.</p>

As a result of the successful 1<sup style="font-size: 9px; line-height: 0; vertical-align: 0.5ex;">st</sup> stage evaluation sampling program on its 70%-owned Block J marine diamond concession in Namibia, Afri-Can now has the foundation to strengthen its development and to achieve its primary goal of developing an economic diamond resource ready for production.</p>

The program focused on 37% of the mineralized areas and achieved the first goal, which was to transform a part or all of the previously estimated potential into an inferred resource, and to estimate a new potential on areas that were not part of the previous potential estimation. The geophysical survey data from our previous programs indicate that the strip extends to the north end of Block J, over a distance of about 20 km. Furthermore, there appears to be a broad connection between the northern part of the strip in Feature 8 and Feature 6, where potential concentration of diamonds has been encountered at the end of the first part of the program.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">Afri-Can's technical team is currently completing its analysis and interpretation of the results and data from the 1<sup style="font-size: 9px; line-height: 0; vertical-align: 0.5ex;">st</sup> stage evaluation program. The interpretation will lead to planning of the subsequent 2<sup style="font-size: 9px; line-height: 0; vertical-align: 0.5ex;">nd</sup> stage evaluation sampling, which will be conducted on parts of Feature 8, the extension of the higher grade strip, and on Feature 6. We are also planning a trial mining phase, to be conducted within the higher grade strip on Feature 8 in order to develop mining blocks and establish ore reserves. Feature 17 will also be considered for the 2<sup style="font-size: 9px; line-height: 0; vertical-align: 0.5ex;">nd</sup> stage evaluation sampling. Afri-Can is planning to start this second sampling phase as soon as vessel availability is confirmed by our contractor.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">Furthermore, the interpretation of the results will lead to a technical report in compliance with National Instrument 43-101. This report will provide updates to the established geological models, and will also include an inferred resource estimation for some parts of Block J and estimates of a new potential diamond content for other areas within the Block. The report is planned to be completed by the end of August 2010.</p>

<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>MONTREAL, QUEBEC--</strong><strong>(June 10, 2010) - </strong>Afri-Can Marine Minerals Corporation (TSX VENTURE:AFA) ("Afri-Can") today summarized the results of its successful sampling program completed on May 26, 2010 on its 70%-owned Block J marine diamond concession in Namibia. The first stage evaluation sampling program has been completed and has resulted in the recovery of 398 diamonds weighing a total of 48.65 carats. The quality of the diamonds is very high and is typical of the quality found off the coast of Namibia. The highlight of the program is the discovery on Feature 8 of a higher grade strip that extends for over 1.8 kilometres and warrants immediate further sampling in preparation for trial mining.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">The program was divided into two phases. During the first phase, Features 8, 6, 17 and 19 (see attached map: <a href="http://media3.marketwire.com/docs/afaf0610.pdf" target="_blank"></a><a href="http://media3.marketwire.com/docs/afaf0610.pdf" target="_blank"><a href="http://media3.marketwire.com/docs/afaf0610.pdf" target="_blank">http://media3.marketwire.com/docs/afaf0610.pdf</a></a>) were sampled on an unbiased grid of 200 m x 400 m. A second phase was carried out in Feature 8, where in-fill sampling was done within the newly discovered higher grade strip. The in-fill sampling was carried out on a grid pattern of 100 m x 200 m.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>The salient results, described for each feature, are as follows:</strong></p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>Feature 8, First Phase:</strong> On the mineralized area, 69 samples of 5 sq.m. have been extracted on a 200 m x 400 m grid. 18 samples contained 83 diamonds with an average weight of 0.12 carats. 11 samples contained more than 1 diamond and the best three contained respectively 24, 13 and 9 diamonds and intersected respective grades of 0.57, 0.31 and 0.21 carats per square metre. The three largest stones were 0.43, 0.41 and 0.36 carats. At this stage, the size and number of diamonds is far less important than the number of samples with multiple stones (2 or more). In this case, the samples with multiple diamonds have enabled the discovery of a higher grade strip that extends over 1.8 kilometres in length.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>Feature 8, Second Phase:</strong> The second part of the program focused on the higher grade strip. Some 66 samples of 5 sq.m. each were extracted. 42 samples contained 278 diamonds with an average weight of 0.11 carats. 34 samples contained more than 1 diamond, and the best three carried respectively 33, 22 and 18 diamonds and intersected respective grades of 0.79, 0.52 and 0.43 carats per square meter. The three largest stones were 0.64, 0.61 and 0.37 carats. The fact that overall there were 18 samples containing more than 7 diamonds is highly significant and shows that we have definitely discovered a higher grade strip that extends for over 1.8 kilometres and seems to extend to the north of Feature 8. An important fact is that the two largest diamonds ever recovered on Block J, each weighing 0.64 carats, and several diamonds over 0.40 carats, were recovered on Feature 8. This indicates that larger diamonds do exist within the population and these will be recovered during future operations. Further sampling work and trial-mining on Feature 8 are highly justified.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>Feature 6, First Phase:</strong> On the mineralized area, 78 samples of 5 sq.m. were extracted on a 200 m x 400 m grid. 22 samples contained 28 diamonds with an average weight of 0.21 carats. 5 samples contained more than 1 diamond and the best three contained respectively 3, 2 and 2 diamonds. The three largest stones were of 0.36, 0.31 and 0.30 carats. At this stage, the size and number of diamonds is far less important than the number of samples with multiple stones (2 or more). In this case, we found fewer samples with multiple diamonds than in Feature 8 but these were found in the same area at the end of the first sampling phase and showed that we have started to find concentration in one area. The fact that we found diamonds sparsely distributed over all of Feature 6 is very significant and shows that the Feature seems to be well mineralized. Further sampling work in Feature 6 is highly justified.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>Feature 17, First Phase:</strong> On the mineralized area, 48 samples of 5 sq.m. were extracted on a 200 m x 400 m grid. 8 samples contained 8 diamonds with an average weight of 0.19 carats. No samples contained more than 1 diamond. The three largest stones were of 0.35, 0.33 and 0.27 carats. The fact that we found diamonds sparsely distributed over all the Feature 17 is very significant and shows that the Feature seems to be well mineralized. Further sampling work in Feature 17 is justified.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>Feature 19, First Phase:</strong> On the mineralized area, 30 samples of 5 sq.m. have been extracted on a 200 m x 400 m grid. 1 sample contained 1 diamond weighing 0.14 carats. The fact that we found only one diamond is disappointing. However, the high quality of the gravels and geology implies that we will have to evaluate this Feature with care before deciding if further sampling work in Feature 19 is justified.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">The diamonds have been weighed on land in the presence of an official of the Ministry of Mines and Energy of Namibia.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">The results, data and geological logs from the 309 samples (291 evaluation samples and 18 exploration samples) will be analyzed and will enable the revision of the boundaries of the proved mineralized and potentially mineralized areas, detailed calculation of grades and revision of the boundaries of the higher, medium and lower grades sections, which will lead to the estimation of an inferred resource in certain areas and a new potential estimation in other areas. The estimation will be the object of a technical report in compliance with National Instrument 43-101 and will be completed in the next 3 months. The report will be prepared by Richard W. Foster and Zstar Mineral Consultants, both Qualified Persons under the terms of National Instrument 43-101.</p>

<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;"><strong>MONTREAL, QUEBEC--(Marketwire - May 10, 2010) - </strong>Afri-Can Marine Minerals Corporation ("Afri-Can")(TSX VENTURE:AFA) today described the objectives of the sampling program presently underway on its 70%-owned Block J marine diamond concession in Namibia. The mineralised areas of Block J amount to about 41.7 sq.km. In a NI 43-101 report dated 30<sup style="font-size: 9px; line-height: 0; vertical-align: 0.5ex;">th</sup>March 2008, a potential diamond content of between 700,000 carats and 1.8 million carats was declared in 12.3 sq.km (29%) of the mineralized areas (see press release dated April 21, 2008), leaving 29.4 sq.km undeclared. The attached map titled EPL 2499 (Block J) Potential Diamond Content shows the location of these areas.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">The goals of the current sampling program are to transform parts of the area of declared potential, and parts of the undeclared areas, into an inferred resource, and to declare a new potential for the remaining mineralized areas that are not covered by this sampling program. In order to attain these goals, the current sampling program is designed in a grid pattern, mostly spaced 200m x 400m, but with some samples more closely spaced. The size of each sample is 5 sq.m. </p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">The current program covers Features 6, 8, 17 and 19 and comprises a total of 332 samples. Of these, 271 are sited within delineated targets covering 19.6 sq.km. The remaining 61 samples are designed to test geological formations that are thought to be potentially diamond bearing, but these will not generate inferred resources during this program of sampling. Specific goals of the current program are to:</p>

<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">Transform into an inferred resource, partially or totally, those parts of the declared potential that lie within Features 8, 17 and 19. These cover an area of 9.3 sq.km, forming most of Feature 8 and portions of Features 17 and 19. The declared potential was of between 700,000 carats at 0.053 carats per sq.m. and 1.8 million carats at 0.146 carats per sq.m. Accounting 20% of the best used to compensate for inadequate sampler performance.</p>

<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">Generate inferred resources in those parts of the area of undeclared potential that lie within the four Features, which is an area covering 10.3 sq.km. Thus the total area to be transformed into inferred resource is 19.6 sq.km, which represents 47% of the total mineralized area of about 41.7 sq.km. These together amount to about 22.1 sq.km, and in order to develop that revised potential into inferred resources, detailed geophysical surveys and a further evaluation sampling program will be designed immediately after the current program.</p>

      <title>[Industry Bulletin] Namibia: Diamond Sales Continue Recovery</title>

<p>DIAMOND mining, hailed as one of the main vehicles to drive Namibia out of recession this year, produced 2,9 per cent more carats in the first quarter of 2010 than in the last quarter of 2009.</p>
<p>The Bank of Namibia (BoN) expects diamond mining to recover from its 58 per cent contraction last year and to grow by 18,8 per cent this year. This recovery is expected to contribute significantly to the expected 4,2 per cent economic growth the central bank is bargaining on this year.</p>

<p>Confirming the first quarter figures by the Ministry of Mines and Energy, Old Mutual Namibia Group Economist Robin Sherbourne however said that carat sales dropped by 6,2 per cent compared to the last three months of 2009.</p>
<p>He forecasted a total production on 1,2 million carats for 2010.</p>
<p>Also believing that diamonds will put the shine back into the local economy, Bank Windhoek's newly appointed economist, John Steytler, said "economic growth in the coming year will be supported by a rebound in diamond production, an expansionary budget and a lower interest environment".</p>
<p>In its recently released annual report, the BoN said that diamond production in the short to medium term, will "continue to underperform due to the depletion of onshore diamonds, since only an average of 33 per cent of total production is expected from land operations". The bank expects diamond production to contract again by 0,1 per cent next year.</p>

<p>The expected rise in production in 2010 is much lower than levels achieved in 2006 and 2007, when 2,4 million carats and 2,3 carats were mined respectively. In 2008, a total of 2,22 million carats were produced, before slumping to 929 006 carats last year.</p>
<p>The BoN stressed that depressed global demand due to the worldwide financial crisis was not the only reason for the drastic fall in production in 2009. Namdeb had already decided in 2007 to shrink production, "as onshore diamonds systematically began to be depleted.</p>
<p>"However, the global crisis exacerbated the situation, as the United States, the single largest market for diamonds, was severely hit by the credit crunch," the BoN said.</p>

<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">MONTREAL, QUEBEC - (Feb. 3, 2010) - <strong>Afri-Can Marine Minerals Corporation ("Afri-Can") (TSX VENTURE:AFA)(FRANKFURT:AJF)</strong> announces that following the acquisition of data from a regional geophysical survey carried out in 2007 by International Mining and Dredging Holding Ltd ("IMDH"), Afri-Can's geological team, in conjunction with its consultant Zstar Mineral Resource Consultants ("Zstar"), have revised and increased the surface of the target areas for the marine diamond sampling program. The total potential target area for evaluation sampling in Block J now stands at 41.7 square kilometres, as opposed to 27.6 square kilometres in the NI 43-101 report of April 2007. The sampling targets for 2010 have been increased to 19.6 square kilometres from 15.5 square kilometres. Afri-Can holds a 70% interest in Block J through a joint venture agreement with the licensee, Woduna Mining Holdings (Pty) Ltd.</p>

The Report reviews all work done subsequent to May 2006 in order to document the principal developments of the geological models, and to define clearly the target areas for sampling.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">Following appointment as independent consultants, Zstar carried out a review of the proposed evaluation sampling program. Zstar's principal recommendation was that the deposits should be grouped into clearly defined geologically homogenous zones, and an estimation of the resource would be carried out separately for each zone. In this manner the geostatistical parameters of each zone would be more clearly defined so that confidence in the total resource estimate will be increased.</p>
<p style="padding-top: 0px; padding-right: 0px; padding-bottom: 10px; padding-left: 0px; clear: both; text-align: left;">As a result of Zstar's recommendation, Afri-Can grouped the Basal Miocene unit (BM unit) and the Terrestrial-Colluvial formation (TC formation) into one zone (the "BM-TC zone") as it will not be practically possible to identify these formations during sampling operations and to split the samples, especially where the TC formation lies directly on the BM unit. It was also decided to extend the BM-TC and Last Transitional Sequence gravel (LTS gravel) zones in the eastern part of Feature 8 slightly beyond the extent of the 2006 detailed geophysical surveys, in order to provide clear geological boundaries. The geological zones are shown in Maps 1 &amp; 2.</p>

Of these, 271 are sited within delineated targets covering 19.6 square kilometres. The remaining 61 samples are designed to test geological formations that are thought to be potentially diamond bearing, but have not yet been proved as such. Approximately 22 square kilometres will be examined by future programs of detailed geophysics, vibracoring, and evaluation sampling.</p>

<p style="text-align: justify;">MONTREAL, QUEBEC - (Jan. 21, 2010) - <strong>Afri-Can Marine Minerals Corporation (TSX VENTURE:AFA) (FRANKFURT:AJF)</strong> ("Afri-Can") announces that the agreement previously reported on December 10, 2009 regarding sampling of its 70%-owned Block J marine diamond concession in Namibia with International Mining and Dredging Holding Ltd. ("IMDH") has been amended and has been approved by the TSX Venture Exchange.</p>
<p style="text-align: justify;"> </p>
<p style="text-align: justify;">The salient features of the agreement are summarized as follows:</p>
<p style="text-align: justify;"> </p>
<p style="text-align: justify;">- The charter cost of the sampling program is estimated to cost US$1.8 million, of which $900,000 is to be paid on the departure of the vessel and the balance within 30 days of completion of the program. This payment arrangement replaces the payment terms of the original agreement signed and announced on January 19th, 2006.</p>
<p style="text-align: justify;"> </p>
<p style="text-align: justify;">- Afri-Can grants IMDH 12.5 million warrants to purchase common shares of Afri-Can at an exercise price of CDN $0.20 per share until June 15th, 2010 as payment for accrued liabilities of $424,000 and for the acquisition of data from IMDH's 2007 Topas geophysical survey amounting to $528,410.64, for a total consideration of $ 952,410.64. The warrant consideration in the agreement signed and announced on December 10th, 2009 has been amended accordingly.</p>
<p style="text-align: justify;"> </p>
<p style="text-align: justify;">- IMDH grants to Afri-Can a Charter Call Option, exercisable by Afri-Can within a period of up to 365 days after the completion of this Charter, to charter another one of its exploration or mining vessels. The Option Vessel will be made available by IMDH subject to availability but no later than 180 days after the exercise of the Charter Call Option, and at a daily rate and for a charter period to be agreed upon between the parties at the time of signature of the charter for the Option Vessel. In consideration for the Charter Call Option, Afri-Can will issue 2 million common shares to IMDH and will deliver the shares within 15 days of the delivery to Afri-Can of the Option Vessel.</p>

<p style="text-align: justify;">Under the terms of the agreement, the sampling program will commence no later than February 14th, 2010. The exact date of sampling commencement will be decided in the coming days and will be communicated to shareholders forthwith. The aim of the complete surveying and sampling program is to delineate diamond resources on Afri-Can's Block J marine diamond concession in Namibia in compliance with National Instrument 43-101.</p>

<p style="text-align: justify;">The sampling program to be undertaken on Block J will cover four geological Features and will comprise a total of 332 samples. Of these, 237 are sited within previously delineated targets covering 18.96 square kilometres. The remaining 95 samples are designed to test geological formations that are thought to be potentially diamond bearing, but have not yet been proved as such.
