<p>Chicago Partner <a href="http://legalnews.arnstein.com/thadford-a-felton/">Thadford A. Felton</a> recently co-authored the book &#8220;Food Industry management and Economic Development&#8221; with his father Dr. Edward Felton, Jr., a professor of Business Administration at The Mason School of business at The College of William and Mary.</p>
<p>The Felton&#8217;s come from a long tradition of farmers and agriculturalists and have observed and experienced firsthand the challenges faced in agriculture and food industries in both the United States and abroad. They own farmland and are involved in agricultural production.  They both have lived in Asia, Latin America, and the Middle East and have traveled in Africa, Europe, Australia, and New Zealand.  Their experiences, some professional and some personal, have given them exposure to a variety of public and private sector managers operating in agribusiness environments worldwide. These experiences have shaped their perspectives and views on the opportunities and challenges of managing food industries. Through management case studies, the book presents specific examples of opportunities in which private sector companies have participated in the establishment, expansion, and shaping of food industries and stimulated agricultural development.  The book is published by The Intermundia Press and is available online at <a href="http://www.amazon.com/Food-Industry-Management-Economic-Development/dp/1887730176">Amazon.com</a>.</p>
<p>Mr. Felton is a partner and co-chair of the Commercial Litigation Group at Arnstein &amp; Lehr.  As a lawyer and counselor, he has extensive experience representing clients in a broad range of business and complex commercial matters.</p>

Mr. Felton and Mr. Miller give specific guidance regarding finding a buyer, nondisclosure agreements, letters of intent, disputes, and earn outs. They also suggest working with experienced advisors prior to putting the business on the market and at all stages of the sale process.</p>

<p>The trusts attempted to collect environmental cleanup costs for seven sites in Illinois, Michigan, New Jersey, and Tennessee from AIG under an environmental insurance policy. The policy covered response costs and natural resource damages under the Comprehensive Environmental Response, Compensation and Liability, or Super Fund, Act. AIG denied coverage to the trusts and the insurance company filed suit in federal court seeking to confirm that it was not obligated to pay the trusts for the cleanup costs.</p>
<p>This settlement concludes litigation in which the United States Department of Justice intervened in the case on behalf of the Environmental Protection Agency, the Department of Interior, the Nuclear Regulatory Commission, and the National Oceanic and Atmospheric Administration. The states of New Jersey, Tennessee, Illinois, and Michigan have also joined the settlement.</p>
<p>Under the settlement agreement, AIG will make an initial $30 million payment, plus interest, and ten annual payments of $1.25 million to the trusts. Most of the funds will be used to clean up contamination at hazardous waste sites in Tennessee, New Jersey, and Michigan.</p>
